AAPG-Europe: Event Booking Terms and Conditions

1. You are asked to read the following Terms and Conditions carefully before submitting a Registration Form or Booking Form for this Event. Confirmation or a booking or any payment by you shall constitute acceptance of these terms and conditions.

2. Cancellations will only be accepted if notified in writing (faxes and emails are acceptable) to AAPG-Europe or The Taylor Bennett Partnership (the registration company for this Event). Cancellations are deemed to be effective from the date upon which the notice is received by AAPG-Europe or The Taylor Bennett Partnership.

3. If you cancel a delegate registration to attend the Event, the following charges will be immediately due and payable by you:

If you cancel the booking to exhibit or sponsor at the Event, the following charges (based on the total value of the confirmed booking exclusive of VAT) will be immediately due and payable by you:

4. In the event that payments are not made on the due date, then without prejudice to any other rights or remedies it may have, AAPG-Europe reserves the right, without notice to you, to retain any payments previously made by you, to treat the booking as cancelled.

5. In the event that you become bankrupt, cease to trade, have a receiver appointed or make any voluntary arrangement with your creditors, we shall be entitled to immediately cancel the booking by notice in writing to you.

6. AAPG-Europe does not accept responsibility for your property or that of your agents, employees or guests.

7. You shall be entitled to substitute another named individual as a delegate or exhibition stand representative at any time, by notice to AAPG-Europe.

8. AAPG-Europe reserves the right in its reasonable discretion to refuse admission to any delegate.

9. You shall comply with any regulations of AAPG-Europe and the Event venue and any applicable statutory requirements on behalf of yourself, your agents, employees and guests.

10. You shall indemnify AAPG-Europe from and against all costs, charges, claims, expenses, demands and liabilities suffered or incurred by AAPG-Europe as a result of any action or omission by you or your agents, employees or guests (including in relation to any damage caused to the Event venue and hotel or any property therein) and/or in connection with any breach by you of any of these terms and conditions.

11. AAPG-Europe shall not be liable for any losses, damages, expenses, costs, claims or liability suffered or incurred by you (including without limitation any consequential loss, loss of profit or indirect damages) other than personal injury or death caused by the negligence of AAPG-Limited.

12. AAPG-Europe shall not be liable for any cancellation of the Event due to circumstances beyond its reasonable control including without limitation due to any act of God, industrial action, fire, flood, storm or tempest, disease, explosion, riot, civil commotion, earthquake, malicious damage, industrial action or act of terrorism.

13. AAPG-Europe reserves the right to amend the programme for the Event. No purported variations or amendments to these terms and conditions shall be of any effect unless accepted in writing by AAPG-Europe.

14. No failure or delay by AAPG-Europe in exercising any of our rights under these terms and conditions shall be deemed to be a waiver of that right.

15. This agreement shall be governed by English law and the parties submit to the non-exclusive jurisdiction of the English courts.

APPEX 2011 London Terms and Conditions

This Agreement is between The American Association of Petroleum Geologists, a Colorado corporation, referred to herein as “Host”, and the party executing this Agreement below as Expo Viewer (“Expo Viewer”). Host will conduct the AAPG 2011 London Prospect and Property Exposition (“APPEX 2011 London”) which is comprised of an Exposition (“APPEX 2011 London Expo”), Prospect Forums and Finance Forum.

This Agreement sets forth the terms of Expo Viewer’s participation in the APPEX 2011 London Expo. The APPEX 2011 London Expo is conducted for the purpose of providing an opportunity for exhibitors (“Exhibitors”) who are (a) owners of interests, whether in whole or in part of (i) oil and gas exploration and development prospects (ii) oil and gas producing properties or (iii) oil and gas lease or land positions (all of such prospects, properties and positions are referred to herein as “Prospects” and such owners are referred to herein as “Prospect Exhibitors”); (b) providers of energy capital services to the energy industry (“Capital Providers”); (c) providers of services related to the energy industry (“Service Providers”); (d) other non-profit organizations related to the energy industry (“Endorsers”) and (e) other organizations making contributions to the event (“Sponsors”). Viewers of Prospects may or may not be Exhibitors. All Prospect Exhibitors, Capital Providers, Service Providers, Endorsers, and Sponsors may also be Expo Viewers. All viewers of Prospects are sometimes referred to herein as “Expo Viewers.” This Agreement provides the terms for participation in APPEX 2011 London Expo of a viewer of Prospects who is not an Exhibitor (all of Prospect Exhibitors, Expo Viewers, Capital Providers, Service Providers, Endorsers, and Sponsors are collectively referred to herein as “Participants”). APPEX 2011 London Expo is conducted to provide a forum for Participants to make initial contact with each other. This Agreement outlines specific rights and obligations of Expo Viewer.

1. Date and Location. The APPEX 2011 London Expo will be held on 1-3 March 2011, from 09.00–18.00, at the Business Design Centre, London, UK (“venue”).

2. Cancellation. Expo Viewer may cancel this Agreement at any time by written notice to Host, such cancellation to be effective upon actual receipt by Host of such notice. If Host receives such notice of cancellation prior to 7 February 2011, Expo Viewer will receive a full refund (minus £30 processing fee) of all fees that Expo Viewer has previously paid to Host in connection with the APPEX 2011 London. If Host receives such notice of cancellation on or after 7 February 2011, Expo Viewer shall not receive a refund of any fees paid.

3. No Assignment or Transfer by Expo Viewer. Expo Viewer may not assign or transfer its rights or obligations under this Agreement to any other party without the prior express written approval of Host which may be withheld for any reason.

4. Standards. Expo Viewer shall conduct itself in a professional manner and in compliance with the terms of this Agreement. Host may terminate this Agreement at any time and remove or require the removal of Expo Viewer if Expo Viewer’s conduct is in violation of the terms of this Agreement or is unprofessional as determined by Host in their sole discretion, and in such event or events, no refund of fees paid will be made and none of Host or any Sponsor or Endorser shall be liable to any Participant for any reason.

5. Knowledge, Representations and Warranties. Expo Viewer and each of its representatives expressly understand, represent, warrant, acknowledge and agree as follows:
a. Host’s function in hosting APPEX 2011 London Expo is solely for the purpose of affording an opportunity for interested Prospect Exhibitors, Expo Viewers, Capital Providers, Service Providers, Endorsers and Sponsors to make initial contact with each other. The showing of any Prospect at APPEX 2011 London Expo shall not constitute any offer to sell or to purchase any Prospect, and any communication between any parties regarding the same shall be pursued separate and apart from APPEX 2011 London and all such communications shall be undertaken in full compliance with any and all applicable laws and regulations, including but not limited to, federal and state securities laws.
b. Oil and gas exploration, development and production activities inherently involve highly speculative activities in which results cannot be exactly predicted and which necessarily involve a high risk of loss. All information furnished in connection with a Prospect is derived through the use of scientific or other techniques associated with the oil and gas Finance Forum, and as such may not be relied upon as statements of fact. Any reserve estimates, production or price forecasts, exploration potential, predictions or similar information contained in the material furnished in connection with a Prospect are, and may be, estimates only and may not be relied upon as indicative of actual results.
c. Host, as sponsor of APPEX 2011 London, are only providers of space. Host, any Sponsor or Endorser, or any of the directors, officers, representatives, employees, or members of each represents or warrants that he, she, or it has in any manner investigated any Prospect or any Participant. None of such parties or persons makes any representation or warranty, express or implied, and each hereby disclaim all implied warranties, as to (i) the accuracy or completeness of any and all Prospects and capital transaction information, (ii) the presence of oil and gas in, on or under any Prospect or any portion of a Prospect or any quantities in connection with any Prospect, (iii) any results which may be expected or projected from exploration, development or operation of any Prospect, (iv) oil and gas marketing and prices to be received for the sale of oil and gas, (v) the merit of the geology, economics or land situation of any Prospect, whether producing or non-producing, (vi) the environmental condition of any Prospect, (vii) the availability for purchase of a particular Prospect or of a particular interest in a Prospect, (viii) the financial or sophistication level of any Expo Viewer or other Participant, (ix) the availability of a particular capital transaction or terms offered by a Capital Provider, and (x) the availability or quality of services provided by any Service Provider.
d. Expo Viewer acknowledges and represents to Host that (i) Expo Viewer is able to bear the economic risk of any oil and gas investment Expo Viewer makes, (ii) Expo Viewer is capable of evaluating the merits and risks of investments in oil and gas activities, (iii) any interest that Expo Viewer may acquire in any Prospect will be for Expo Viewer’s own account and not with a view to the distribution or sale thereof, (iv) Expo Viewer is acting solely for Expo Viewer’s own account and not with a view to the distribution or sale thereof, (iv) Expo Viewer is acting solely for Expo Viewer’s own account in making any evaluation, (v) this Agreement, the event and any information provided to or obtained from APPEX 2011 London is not, and shall not be construed in any way, directly or indirectly, as a prospectus or other such offer to sell a security or an interest in oil and gas properties, (vi) in connection with Expo Viewer’s participation in APPEX 2011 London, all representations and warranties Expo Viewer makes shall be true and correct in all material respects, and Expo Viewer’s acts and omissions to act shall be in compliance with all applicable laws, and (vii) Expo Viewer has received no representations or warranties from Host or the directors, officers, representatives, employees or members of each regarding Expo Viewer’s participation in APPEX 2011 London, and Expo Viewer shall not rely upon any representations or warranties Expo Viewer may receive from any director, officer, representative, employee or member of either of Host regarding any aspect of Expo Viewer’s participation in APPEX 2011 London except as specifically provided herein.
e. As an inducement required by Host to permit Expo Viewer to participate in APPEX 2011London Expo, Expo Viewer shall and does hereby release each of Host and the Sponsors and Endorsers, and the directors, officers, representatives, employees and members of each, jointly and severally, from any and all liability that may be incurred as a consequence of Expo Viewer’s review and/or purchase or investment in any Prospect or participation in any capital transaction as a result of any information provided at or obtained from the APPEX 2011 London. Also as an inducement required by Host to permit Expo Viewer to participate in APPEX 2011 London Expo, Expo Viewer hereby waives and releases any claim or cause of action against any of or any combination of Host, the Sponsors, and the Endorsers, and the directors, officers, representatives, employees, and members of each related to Expo Viewer’s participation in APPEX 2011 London, including without limitation, any claim or cause of action for fraud, misrepresentation or breach of federal or state securities laws.
f. Expo Viewer is solely responsible for any actions that Expo Viewer or Expo Viewer’s representatives take, or advise others to take, in reliance on any information furnished at the APPEX 2011 London concerning any Prospect or any capital transaction or any representations or use of Prospect information in violation of this Agreement. Expo Viewer hereby indemnifies and holds harmless and agree to defend Host, the Sponsors, and the Endorsers, and the directors, officers, representatives, employees, and members of each, jointly and severally, from and against any and all claims, lawsuits, liabilities, losses, damages, costs and expenses (including attorneys’ fees and costs) incurred in connection with or resulting in any manner whatsoever from or associated with any matter set forth in subparagraph e immediately preceding or any breach by Expo Viewer or Expo Viewer’s representatives of Expo Viewer’s agreements contained herein.

6. APPEX 2011 London Only. This Agreement is for the APPEX 2011 London and does not concern any future APPEX London.

7. Authorized Individuals. The individual authorized to represent Expo Viewer at APPEX 2011 London Expo is listed at the beginning of this agreement.

8. This Agreement shall be governed by the laws of the laws of the state of Oklahoma (without regard for any conflict of laws principles).
